1. Agreement to Terms

By accessing or using Kopano ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

These Terms constitute a legally binding agreement between you and Kopano, a platform operated in accordance with the laws of the Republic of Botswana.

2. Definitions

• "Platform" refers to the Kopano website, mobile applications, and all related services
• "User" refers to any individual or entity using the Platform
• "Business" refers to any registered business entity on the Platform
• "Content" refers to any information, text, graphics, or other materials uploaded to the Platform
• "Services" refers to all features and functionalities provided by Kopano
• "Pula" or "BWP" refers to the Botswana Pula, the official currency

3. Eligibility

To use Kopano, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts under Botswana law
• Not be prohibited from using the Platform under any applicable laws
• Provide accurate and complete registration information
• For businesses: Have valid business registration in Botswana

4. User Accounts

4.1 Account Creation

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account
• You must notify us immediately of any unauthorized use
• One person may not have multiple personal accounts

4.2 Business Accounts

• Business accounts require valid Botswana business registration
• You must have authority to bind the business to these Terms
• Business information must be accurate and up-to-date
• Verification documents may be required

5. Acceptable Use Policy

You agree NOT to:

• Violate any laws of Botswana or international regulations
• Post false, misleading, or fraudulent content
• Infringe on intellectual property rights
• Harass, abuse, or harm other users
• Engage in discrimination based on race, gender, religion, or nationality
• Spread malware or engage in phishing
• Manipulate prices or engage in anti-competitive behavior
• Use the Platform for money laundering or illegal financial activities
• Post content that violates Botswana's cultural values and norms

6. Listings and Transactions

6.1 Listing Rules

• All listings must be legal to sell in Botswana
• Descriptions must be accurate and not misleading
• Prices must be displayed in Botswana Pula (BWP)
• Prohibited items include weapons, drugs, counterfeit goods, and stolen property
• Wildlife products must comply with Botswana's conservation laws

6.2 Transaction Responsibilities

• Kopano is a marketplace facilitator, not a party to transactions
• Users are responsible for completing transactions
• Disputes should first be resolved between parties
• Kopano may provide dispute resolution assistance

7. Fees and Payments

• Service fees may apply to certain transactions or features
• All fees are quoted in Botswana Pula (BWP)
• Fees are subject to Value Added Tax (VAT) where applicable
• Payment processing is handled by secure third-party providers
• Users are responsible for their own banking and transaction fees

8. Intellectual Property

8.1 Platform Content

All Platform content, features, and functionality are owned by Kopano and protected by Botswana and international copyright, trademark, and other intellectual property laws.

8.2 User Content

• You retain ownership of content you post
• You grant Kopano a license to use, display, and distribute your content
• You warrant that you have the right to post the content
• You may not post content that infringes on others' rights

9. Privacy and Data Protection

Your use of our Platform is also governed by our Privacy Policy. By using Kopano, you consent to our collection and use of personal information as outlined in the Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

10.2 Limitation of Liability

To the fullest extent permitted by Botswana law, Kopano shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Platform.

10.3 User Disputes

Kopano is not responsible for disputes between users. We encourage users to resolve disputes amicably in the spirit of Botho.

11. Indemnification

You agree to indemnify and hold harmless Kopano, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform or violation of these Terms.

12. Termination

• We may terminate or suspend your account at our discretion
• You may terminate your account at any time
• Upon termination, your right to use the Platform ceases
• Certain provisions of these Terms survive termination

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the Republic of Botswana, without regard to conflict of law principles.

13.2 Dispute Resolution

• Disputes shall first be addressed through good faith negotiations
• If unresolved, disputes shall be submitted to mediation in Gaborone
• If mediation fails, disputes shall be resolved in Botswana courts
• The courts of Gaborone shall have exclusive jurisdiction

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification. Your continued use after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Language

These Terms are written in English. While translations may be provided, the English version shall prevail in case of discrepancies.
